Collins & Aikman Company, Vice President, General Counsel and Secretary
As General Counsel, responsible for all of the legal affairs of a Fortune 500, diversified manufacturing corporation.
Responsibilities included:
- Advising the Corporation’s chief executive and chief operating officers and Board of Directors on all legal matters.
- Negotiating all acquisitions and divestitures.
- Insuring corporate compliance with applicable regulatory requirements.
- Overseeing all litigation.

Member of the Firm’s Corporate Department. Selected matters handled included the representation of:
- Atlantic Richfield Company, in its proposed acquisition of Gulf Corporation.
- Merck & Co., Inc., in a joint venture with AB Astra, the Swedish pharmaceuticals company, for the development and marketing of Astra pharmaceutical products in the United States.
- Bendix Corporation, in the sale of its minority interest in ASARCO Incorporated and the acquisition of its minority interest in Maxwell Laboratories, Inc.
- Sonat Inc., in its acquisition of Teleco Oilfield Services Inc.
- Jefferson Smurfit Corporation, in its proposed acquisition of Southwest Forest Industries, Inc.
- The Offshore Company, in a joint venture with The Royal Dutch Shell Group for the construction and financing of offshore drilling rigs.
- Mitsui & Co., Ltd., in several joint ventures with Alumax Inc. for the construction and operation of aluminum reduction plants in the United States and Australia.
Also responsible for handling important aspects of administration, including:
- Supervising the staffing of all corporate matters for the firm.
- Supervising the training of all corporate associates.
- Member of the firm’s Personnel Committee, which handled all personnel matters relating to the approximately 120 associates then at the firm.
Co-Chairman of the firm’s Recruiting Committee, responsible for the hiring annually of approximately 50 law school students and graduates and the management of the firm’s summer program for law school students.
