The firm’s Tax Department provides advice and sophisticated analysis on a wide range of complex tax issues and planning techniques, without losing sight of our clients’ business objectives. Our tax attorneys play a key role in the firm’s transactional practice, structuring domestic and international mergers and acquisitions, spin-offs, joint ventures, bankruptcies, reorganizations, equipment leases, placement of off-shore investment funds, securitizations and initial public offerings.
Our recent transactions include representation of Rockwood Holdings in the sale of its U.S., U.K., and Canadian plastic compounding business to Mexican company Mexichem, and MediaNews Group in its prepackaged bankruptcy reorganization. We have also represented Continental Airlines in domestic and cross-border leases, as well as public offerings of debt securities, including precedent-setting enhanced equipment trust certificate transactions that have now become an industry standard.
We are also actively involved in assisting our clients with tax planning. This part of our practice has a heavy international component, including advising foreign clients on structuring their U.S. business and investment activities and U.S. clients on their foreign activities. Other areas include counseling clients on tax-advantaged financial products, executive compensation and internal restructurings. For example, we recently represented a French client on structuring equity compensation for employees of its U.S. subsidiaries. We also do extensive work for non-profit organizations and qualified settlement funds.
The department is also experienced in handling tax disputes. With assistance from the Firm’s Litigation Department where appropriate, we have represented clients in federal and state courts. For example, we represented Ralston Purina Company in a United States Tax Court litigation involving an Italian usufruct transaction. We have also represented clients in federal audit and appeals office proceedings, as well as state and local administrative proceedings.
