Lucy Calisi Guffanti is an associate in Hughes Hubbard’s Media, Technology and Commercial Transactions Group. Her practice includes counseling and providing transactional support for clients in the technology, entertainment, consulting and financial services, fashion, consumer retail, new media, publishing, health care, gaming and hospitality industries.
Before joining Hughes Hubbard, Lucy served as Legal Counsel at Equinix, Inc., one of the largest network and cloud-based enablement and colocation service providers in the world, where she provided strategic counsel and commercial transactional support focused on IP-connected platform and tech-based infrastructure development, complex outsourcing arrangements and all aspects of data management.
Prior to Equinix, Inc., Lucy served as Legal Counsel at Global Cloud Xchange, a global telecommunications and media company, where she provided corporate and commercial transactional support concerning master service agreements, marketing initiatives, complex vendor arrangements and other media, content and technology-driven transactions.
Areas of Concentration
Technology. Software, hardware, co-location, interconnection, data exchange, telecommunications, including network, managed network and Internet services, dark fiber, cloud-based offerings and other emerging technologies, including service level, support, channel, reseller and distribution arrangements.
Outsourcing and Complex Services. Domestic and international outsourcing, professional and master service agreements for technology services, financial, accounting, assurance and advisory services, customer/client relationship management (CRM), product manufacturing and logistics, and data processing and analytics.
Retail, Brand and Consumer. Apparel, electronics, home furnishings, food/beverage, alcohol and spirits, books, toys and retail product development, distribution, manufacturing, logistics and sales arrangements, brick and mortar store establishment, trademark licensing, commission, consignment, agent and dealer agreements, product sales and warranty terms and point of sale, payment card and merchant arrangements.
Advertising and Promotions. Marketing, sponsorship, branding, advertising and promotional initiatives, including traditional and new media sweepstakes and contest administration.
Data and Privacy. Privacy, data and information security matters, including domestic and international data collection, use, storage, processing, transfer and disclosure requirements (e.g., Privacy Shield, CAN-SPAM, PCI DSS, GDPR, HIPAA, etc.), legal and regulatory compliance review.
Corporate and Strategic Alliances. Strategic alliances, real property/leasing transactions, employment and independent contractor agreements and other corporate arrangements.
