March 1, 2019 — Hughes Hubbard acted as legal counsel to global information technology company Wipro in the sale of its human resources management business to Blackstone Group-owned Alight Solutions for $110 million.

India-based Wipro announced on Feb. 27 that it would expand its strategic relationship with Alight by selling its Workday and Cornerstone OnDemand practices to the Illinois-based benefits administration company.  The deal is expected to close before the end of March.

“This agreement will enable Wipro to sharpen its focus on key offerings where it has a leadership position in the market,” said Abidali Neemuchwala, CEO and executive director at Wipro. “We will continue to make significant investments to grow our cloud applications and platforms business.”

Wipro and Alight began their partnership in July with a $117 million deal for Wipro to acquire Alight’s India operations. In September, Wipro signed a 10-year contract worth more than $1.5 billion to provide digital services to Alight.

Workday is a cloud-based software for human resources, payroll and financial management. Cornerstone OnDemand is a cloud-based learning and talent management software. HHR advised Wipro in the acquisition of these practices as part of its 2016 buyout of Indianapolis.-based cloud services company Appirio Inc. As part of the sale, approximately 350 employees from the Workday and Cornerstone teams will join Alight.
