Amy G. Dulin is senior counsel in the Miami office of Hughes Hubbard & Reed. Her practice focuses on international corporate finance with an emphasis on advising financial institutions in corporate and structured finance transactions. Her matters have included syndicated and credit-enhanced loan facilities, acquisition financings, trade finance transactions, restructurings, derivative products, and general corporate and commercial practice for multinational corporations and international financial institutions, with particular focus on Brazil and other Latin American countries.

  • Representation of a syndicate of 7 banks in connection with a $600 million term loan pre-export finance facility for Brazilian joint venture that produces sugar, ethanol and bioenergy. 
  • Represented MUFG Bank as administrative agent, and the Bank of Nova Scotia, BNP Paribas Securities and Sumitomo Mitsui Banking Corp. as joint lead arrangers and joint bookrunners in connection with two syndicated revolving credit facilities totaling $700 million for Brazilian companies Votorantim S.A. and Votorantim Cimentos SA.
  • Represented a syndicate of 18 banks in connection with a $3.25 billion revolving credit and letter of credit facility for Brazilian oil giant Petroleo Brasileiro, or Petrobras.  The joint bookrunners were Citibank, Crédit Agricole CIB, JPMorgan Chase, Mizuho Bank Ltd. and The Bank of Nova Scotia
  • Represented BNP Paribas as administrative agent and a syndicate of 10 banks in a $1.57 billion credit facility structured as a sustainability-linked loan (SLL) for the European unit of Brazilian pulp and paper company Suzano. The joint lead arrangers and joint bookrunners included Bank of America, JPMorgan Chase Bank, Credit Agricole and The Bank of Nova Scotia
  • Represented the Pellas Group, a shareholder of BAC Florida Bank, in the sale of the Coral Gables-based bank to Brazil’s Banco Bradesco for $500 million. This transaction, Banco Bradesco's first-ever acquisition in the U.S. market, was named “Financial Services Deal of the Year" in the middle market segment at The Deal Awards 2021 and nominated for “Deal of the Year"
  • Represented a syndicate of 12 financial institutions and Mizuho Bank Ltd. as administrative agent in a $1.26 billion revolving credit facility for Comisión Federal de Electricidad (CFE), the Mexican state-owned electric company
  • Represented Crédit Agricole Corporate and Investment Bank as administrative agent and two bank syndicates on amendments to two revolving credit facilities worth $5 billion for Brazilian mining giant Vale S.A.  The two syndicates totaled 25 global banks, led by Citigroup, Crédit Agricole, MUFG Union Bank, and Sumitomo Mitsui Banking Corp. The syndicates also included JPMorgan, Bank of China, Bank of Montreal, Mizuho, The Bank of Nova Scotia, Royal Bank of Canada, HSBC, Bank of America, Barclays, Standard Chartered and Banco do Brasil
  • Represented a syndicate of banks in a $100 million revolving credit facility structured as a sustainability-linked loan (SLL) for Chilean pulp and paper producer Empresas CMPC. The transaction marked the first SLL for CMPC and for BNP Paribas in Latin America, which led the syndicate of lenders as administrative agent, joint lead arranger and sole sustainability coordinator. The syndicate also involved Export Development Canada, MUFG Union Bank and Sumitomo Mitsui
  • Represented the Bank of Nova Scotia and Banco Santander as lead arrangers, and The Bank of Nova Scotia as administrative agent, in a $300 million syndicated loan for Peruvian mining company Volcan Compañia Minera.  The syndicate was comprised of eight lenders, including Banco de Crédito del Perú, Banco Internacional del Perú S.A.A. and Bancaribe Curacao Bank N.V.  
  • Represented Banco Santander S.A., as structuring agent, and a syndicate of 12 banks in a $1 billion refinancing for Brazilian steel producer Gerdau S.A. and its subsidiaries
  • Represented BNP Paribas, Citibank, Credit Agricole, JPMorgan Chase and Sumitomo Mitsui as joint lead arrangers and joint bookrunners in a revolving credit facility of up to $1 billion for Enel Américas, a Chilean energy company
  • Represented Natixis, New York Branch, as joint bookrunner and mandated lead arranger in connection with a $310 million export prepayment facility for Brazilian sugar and ethanol producer Tereos Açúcar e Energia Brasil S.A.
  • Represented BNP Paribas, Citigroup, Credit Agricole CIB and Mizuho Bank Ltd. as joint lead arrangers and a syndicate of 17 banks in connection with a $4.35 billion revolving credit facility for Brazilian oil giant Petroleo Brasilerio, or Petrobras. The deal was named a “Deal of Year 2018” by LatinFinance magazine
  • Represented Banco Santander (Brasil) S.A. as structuring agent in a $330 million term loan facility for Gerdau Corsa, S.A.P.I. de C.V., the main Mexican operating subsidiary of Brazilian steelmaker Gerdau S.A.
  • Represented Banco Davivienda as borrower in connection with a $172.5 million loan from the IFC Capitalization Fund
  • Represented the Bank of Tokyo-Mitsubishi UFJ and Sumitomo Mitsui Banking Corporation as joint lead arrangers in a $100 million loan to Peruvian electricity generator EnerSur
  • Represented Banco Santander, Banco do Brasil, Banco Bradesco, Itaú Unibanco, HSBC and Morgan Stanley as joint lead arrangers and bookrunners, and HSBC as administrative agent, in connection with a $200 million revolving credit facility to Odebrecht Oil Services Ltd.
  • Represented Banco Latinoamericano de Comercio Exterior (Bladex) in connection with a risk-sharing facility of up to $350 million with IFC to expand access to trade finance for agribusinesses in Latin America and contribute to regional food security
  • Represented Citibank in connection with US$250 million loan to a Brazilian highway infrastructure concessions group
  • Represented BNP Paribas as arranger and issuing bank in a US$150 million revolving letter of credit syndicated facility to support project finance transactions of a major Brazilian construction company
  • Represented Banco Davivienda in a US$220 million loan to a leading production and exploration company in Colombia
  • Represented Morgan Stanley, Citigroup, HSBC and Santander as arrangers in connection with US$1 billion revolving credit facility to a Brazil food producer
  • Represented Credit Suisse AG in a US$110 million secured loan to a Mexican software group
  • Represented Banco Davivienda as borrower in a US$170 million loan facility from a multilateral bank
  • Represented Credit Agricole as arranger and agent in a US$600 million term loan facility for a Brazilian energy company
  • Represented Citibank, N.A. as lender in connection to a $10 million loan to a Brazilian pulp and paper manufacturer
  • Represented Banco Santander in connection with US$200 million loan to a Brazilian steelmaker
  • Represented Espirito Santo as issuing bank in connection with a USD$6.5 million letter of credit to an international drilling company
  • Represented MetLife in connection with a series of loans totaling over US$200 million to a special purpose vehicles secured by real estate assets in Brazil
  • Represented Citibank in connection with $62.5 million loan to one of the largest companies in the Brazilian electricity sector
  • Represented Mizuho in connection with $100 million Pre-Export Finance Facility to a Brazilian overseas supplier and exporter
  • Represented BNP Paribas in connection with $35million Bi-lateral Pre-Export Financing Facility to Brazil's largest private producer of soybeans in the world
  • Represented Citibank, N.A. in connection with a $100 million credit facility for a Brazilian sugar and alcohol cooperative
  • Represented Itaú BBA in connection with a receivables purchase facility for a Japanese multinational electronics corporation
  • Represented Wells Fargo as Administrative Agent in connection with a $100 million Syndicated Senior Unsecured Term Loan Facility to a financial services institution 
  • Represented Mizuho in connection with $1 billion bi-lateral loan to an integrated energy company
  • Represented to Banco Votorantim S.A. and Wells Fargo N.A. as lead arrangers in $75 million syndicated loan to a Brazilian bank
  • Represented BNP Paribas in connection with a $15 million senior secured uncommitted bilateral revolving facility to one of the world's largest recyclers of refinery and natural gas byproducts in Mexico
    Advised Citibank, N.A. in connection with a $45.5 million credit facility for an independent Brazilian oil and gas company 
  • Represented Bladex as arranger in connection with $100 million pre-export loan to a Guatemalan agroindustrial company that produces sugar
  • Represented Banco do Brasil as Administrative Agent in connection with restructuring of $100 million loan to one of the 10 largest sugar/ethanol producing groups in Brazil  
  • Represented Union Bank, N.A. as administrative agent in three loan facilities for a Brazilian pulp and paper company in connection with waivers and amendments to transfer obligations from one entity to another 
  • Represented Union Bank, N.A. as administrative agent in a $100 million loan to a Brazilian pulp and paper company
  • Represented BTMU in connection with a receivable purchase agreement with Brazil's second largest producer of pork and poultry products and with a Brazilian meat-based frozen foods export operations offshore company 
  • Represented Mineros, S.A. in connection with $50 million loan agreement, the proceeds of which was used to finance a portion of the acquisition of a Nicaraguan gold, silver and copper mining and exporting company
  • Represented Seguros Bolívar S.A. in connection with U.S. tax matters arising from its investment in a company that is a world-wide industry leader of security-related solutions 
  • Represented Citibank, N.A. and HSBC Bank USA, N.A. as arrangers in $450 million syndicated term loan to a Brazilian energy company
  • Represented Banco Santander (Brasil) S.A., ABN Amro Bank N.V., Banco Itáu BBA S.A. and Mizuho Corporate Bank, Ltd. as arrangers in a $500 million secured pre-export facility for a Brazilian cellulose producer
  • Represented Morgan Stanley, HSBC and Santander as joint lead arrangers in a US$500 million dual currency revolving credit facility for a Brazil food producer
  • Represented Banco Davivienda as buyer in connection with its acquisition of HSBC’s banking operations in Costa Rica, Honduras and El Salvador
  • Represented Banco Itau BBA, Banco do Brasil and Banco Votorantim in a US$750 million acquisition finance facility for a Brazilian industrial group to acquire a US-based production company
  • Represented Banco do Brasil in a €450 million acquisition finance facility for a Brazilian industrial group to acquire a European-based company
  • Represented Banco Santander as arranger in a US$1 billion multi-currency revolving working capital facility for a Brazilian steel conglomerate and all its subsidiaries
  • Represented BNP Paribas as arranger in US$750 million loan to a major aircraft manufacturer
  • Represented Credit Agricole Corporate and Investment Bank as documentation agent in US$600 million loan to a Brazilian steel conglomerate
  • Represented Credit Suisse Securities (USA) LLC as lead arranger in a US$50 million loan to a Mexican software company
  • Represented HSBC Securities Inc. and Societe Generale as joint leader arrangers in two loan facility transactions for a Brazilian pulp and paper group aggregating US$2.6 billion
  • Represented Banco Rabobank International Brasil S.A. as agent in a US$50 million export prepayment loan facility to Brazilian producers of biodiesel fuel
  • Represented Credit Suisse Securities (USA) LLC as lead arranger in a U.S. $50 million loan to Valores Corporativos Softtek, S.A. de C.V.
  • Represented Santander as arranger in a US$500 million revolving credit facility to finance offshore operations of a Brazilian construction conglomerate
  • Represented HSBC as arranger and Bank of Tokyo Mitsubishi as administrative agent for a US$ 350 million pre-export and working capital facility for a Brazilian industrial group
  • Represented Citi as lead arranger in a US$500 million term loan and revolver facility for a Brazilian steel exporter
  • Represented HVB and BNP Paribas as lead arrangers of a US$160 million term loan facility for a Panamanian bank
  • Represented ABN AMRO, Calyon, Citi, The Bank of Tokyo Mitsubishi and WestLB as administrative agents in six separate syndicated facilities aggregating over US$3.3 billion in connection with a corporate restructuring by a Brazilian industrial group
