Practices
Alan Kravitz focuses his practice on the tax aspects of domestic and international mergers and acquisitions, joint ventures and structured finance. He has deep experience in aviation finance and equipment finance transactions, in which he has provided tax advice to underwriters, issuers, lenders and other involved parties. He assists companies and funds with tax matters relating to the acquisition and disposition of subsidiaries and portfolio companies, both domestic and multinational, with a particular focus on the media and technology, telecommunications and transport and logistics sectors. He also advises sponsors on tax considerations relating to the formation and structure of private equity funds.

- Represented Newhouse family-owned media company Advance Publications Inc. and its portfolio company 1010data, a provider of enterprise analytics, in the sale of 1010data to SymphonyAI
- Represented Media group Advance Local, a subsidiary of Newhouse family-owned Advance Publications Inc. which owns numerous media and entertainment companies, in connection with its sale of MatchCraft, a marketing technology platform
- Represented Wipro Limited in connection with the sale of its human resources management business to Blackstone Group-owned Alight Solutions
- Represented Cenveo Worldwide Ltd. in the sale of its long-run labels and receipt paper assets to Iconex, a provider of receipt and label solutions
- Represented MSG Sports in connection with the combination of Counter Logic Gaming, of which MSG Sports previously owned a controlling interest, with NRG, a professional gaming and entertainment company. As a result of the transaction, MSG Sports now owns a noncontrolling equity interest in the larger, combined NRG/CLG company
- Represented Griffin Global Asset Management and Bain Capital Special Situations in connection with the acquisition of 17 new technology Rolls-Royce Engines. This transaction was the Ishka Global Best European Deal 2023
- Represented Griffin Global Asset Management Holdings in connection with a three-year, $525 million unsecured revolving credit facility
- Represented Griffin Global Asset Management $1 billion senior unsecured notes offering
- Represented Bain Capital as lender in a $270 million loan structured with features of enhanced equipment trust certificates (EETCs) to Wheels Up, a provider of “on-demand” private aviation services
- Represented Griffin Global Asset Management and Bain Capital Credit in their investment in Arajet, the “flag carrier” of the Dominican Republic
- Represented a syndicate of 17 banks that provided a $5 billion revolving credit facility for Brazilian oil giant Petroleo Brasileiro, or Petrobras
- Represented CF Acquisition Corp. VI, a SPAC backed by New York investment firm Cantor Fitzgerald, in connection with its $2.1 billion merger with Rumble Inc. that took the Canadian neutral video platform public
- Represented Kensington Capital Acquisition Corp. V, a SPAC backed by Kensington Capital Partners and targeting businesses in the industrial sectors, in its $276 million initial public offering
- Represented Kensington Capital Acquisition Corp. II, a SPAC backed by Kensington Capital Partners, in its $230 million initial public offering and $1.5 billion merger with Wallbox Chargers SL, a Barcelona-based manufacturer of electric vehicle charging stations
- Represented CF Acquisition Corp. V, a SPAC backed by New York investment firm Cantor Fitzgerald, in connection with its $850 million merger with Satellogic that took the satellite earth imagery provider public
- Represented CF Finance Acquisition Corp. III, a SPAC backed by New York investment firm Cantor Fitzgerald, in connection with its $2 billion merger with AEye Inc. that took the lidar senor maker public
- Represented joint venture partners Griffin Global Asset Management LLC and Bain Capital Credit in connection with two sale-leaseback transactions with Virgin Atlantic involving Boeing 787 aircraft collectively valued at $230 million
- Represented U.K. sports and fashion retailer JD Sports Fashion in the acquisition of U.S. athletic footwear, apparel and accessories retailers Shoe Palace and Nice Kicks
- Represented global information technology company Wipro Limited in its acquisition of Rational Interaction, a full-service digital customer experience (CX) company
- Represented Wipro Limited in connection with the acquisition of engineering services company Eximius Design
- Represented Sculptor Capital Management as asset manager in a $446 million aircraft asset-backed securitization (ABS) for GECAS, a world-leading aircraft lessor, to acquire 20 aircraft
- Represented organic seed and ag tech leader Sostena Inc. in developing a novel, replicable structure to finance and de-risk the expansion of organic non-GMO farming practices and reduce waste currently endemic to US produce supply chain
- Represented United Airlines in a $325 million convertible loan to Avianca Holdings S.A. The deal was named the “Latin America Deal of the Year” by Airfinance Journal and was shortlisted for the “Deal of the Year” award by Latin Lawyer magazine
- Represented Morgan Stanley Bank in a refinancing of a $195 million term loan facility for K2 Aircraft Leasing Limited, a joint venture between KKR and DVB Bank to refinance indebtedness for 12 aircraft
- Represented a syndicate of banks led by Deutsche Bank in a $548 million aircraft asset-backed securitization (ABS) for BOC Aviation, a global aircraft operating leasing company
- Represented Brazil’s Azul airline in securing $200 million in financing for servicing the engines of its fleet through the U.S. government’s Overseas Private Investment Corporation (OPIC)
- Represented Delta Air Lines in 57 separate sale and leaseback transactions involving Airbus, Boeing and Bombardier aircraft and collectively valued at over $1.5 billion
- Represented Hawaiian Airlines Inc. in connection with a $262 million offering of enhanced equipment trust certificates (EETC) secured by eight Airbus aircraft
- Represented Delta Air Lines Inc. in 28 sale-leaseback transactions with four commercial aircraft leasing companies involving aircraft valued at over $980 million
- Represented Griffin Global Asset Management in connection with a $550 million joint venture with Bain Capital to form an aircraft leasing company
- Represented Banc of America Leasing & Capital LLC (BofA), BNY Capital Resources Corporation (BNY) and U.K.-based National Westminster Bank plc (NatWest) in connection with a series of leveraged finance leases totaling $530.5 million for new aircraft for Delta Airlines, Inc.
- Represented a group of financing parties, including Citigroup Global Markets Inc. and BNP Paribas, in a $500 million Islamic finance murabaha revolving warehouse facility for NCB Capital, an investment firm in the Middle East. NCB Capital will use the proceeds to finance or refinance the purchase of aircraft to be owned by Data Aviation Finance Limited, a newly formed special-purpose company
- Represented BNP Paribas as placement agent in connection with Castlelake Aircraft Securitization Trust 2015-1 (CLAS 2015-1), which refinanced a 2015 asset-backed securitization originally funded by Castlelake through issuance of $355 million in notes
- Represented Bluestar Alliance and affiliates in connection with the acquisition of Hurley International from Nike
- Represented Air Lease Corporation in a $527 million asset-backed securitization (ABS) that launched the aircraft leasing company’s Thunderbolt III platform, TBOLT III 2019-1

- Represented Canadian Imperial Bank of Commerce, New York Branch, as administrative agent, letter of credit issuing bank and lender, in a $30 million revolving credit and letter of credit facility for GenConn Energy LLC.
- Represented MUFG Union Bank N.A. as administrative agent and syndication agent in connection with a refinancing of an existing senior unsecured revolving credit and letter of credit facility for El Paso Electric Company
- Represented BNP Paribas Securities Corp. in connection with a $189 million aircraft asset-backed securitization (ABS) for Vx Capital Partners, a cargo aircraft management and leasing firm
- Represented Bank of America Merrill Lynch, DekaBank, Deutsche Girozentrale Standard Chartered Bank and Sumitomo Mitsui Banking Corp. in connection with a $620.9 million senior loan financing for Delta Air Lines Inc.
- Represented Hawaiian Airlines Inc. in connection with a $235 million revolving credit and letter of credit facility provided by a syndicate of banks
- Represented Bank of America as facility agent, structuring agent and joint lead arranger in connection with a $300 million aircraft warehouse facility for a new joint venture leasing vehicle established by Elliot Management and SkyWorks Leasing, an aircraft management services company
- Represented GB Auto Service, a portfolio company of Greenbriar Equity Group LLP, in its acquisition of Driver's Edge Auto Repair
- Represented China Minsheng Investment on its approximately $2.2 billion purchase of Sirius International Insurance Group from White Mountains Insurance Group
