Our 2021 Year in Review

A Message from the Chair

Ted Mayer, Chair of Hughes Hubbard & Reed

2021 was a very successful year for Hughes Hubbard on all fronts. But our most important metric is the results we achieve for our clients. By that measure, 2021 was an outstanding year. We achieved important wins for our clients, many in extraordinarily complex or new areas of law, and we continued our track record for success and incredible teamwork despite the continued obstacles in an ongoing pandemic.

We also continued to focus on our core strengths while building resources in areas where we believe we add value. Our ability to focus on our clients’ needs is due in no small part to the deep bench we have built. With that in mind, we are thrilled about the exceptionally talented lawyers we promoted internally and attracted laterally.

In May, we added Charles Wachsstock to our Employee Benefits & Executive Compensation group in New York, Monique Figueiredo to the Labor and Employment practice in Paris, and Thomas Healey to the Aviation Finance group in Washington, D.C.; in June, Remy Gerbay joined the Arbitration practice in Washington, and the Mergers & Acquisitions group in New York expanded with the addition of corporate partners Scott Naturman and Constantine (Gus) Petropoulos; in October, Christine Kang joined the Anti-Corruption & Internal Investigations practice in New York; and in December and this past January, Kenyen Brown and Kevin Carroll joined the White Collar & Regulatory Defense and Anti-Corruption & Internal Investigations groups in the Washington, D.C. office.

We also promoted a diverse new class of partners and counsel. The new partners are M. Shams Billah in Banking & Financial Services, Erin Diers in Corporate Reorganization & Bankruptcy, and Amina Hassan in Litigation in the New York office, and Marie-Agnès Nicolas in Anti-Corruption & Internal Investigations in the Paris office; and our new counsel are Jan Dunin-Wasowicz in Anti-Corruption & Internal Investigations in the Paris office, Tyler Grove in International Trade in the Washington, D.C. office, and Malik Havalic in Litigation and Alexander Rahn in Corporate in the New York office. 

The new class represents the roaring year we had in our Corporate department, and our Litigation department is as strong as it’s ever been.

You will find that many of our successes last year were international. Our clients continue to trust us with sophisticated matters across the globe, and one of our greatest strengths remains mobilizing impressive and talented teams wherever they are needed.

Last year was very successful for all of our practice areas, and we have our clients to thank for that.

Litigation

Last year, Hughes Hubbard’s litigators scored a groundbreaking verdict in a crypto fraud trial, a rare summary arbitration award for a global esports company and an appellate victory in claims surrounding the liquidation of Lehman. The firm also delivered wins for an energy provider, an international university, a liquor importer and an auction house.

Hughes Hubbard won a groundbreaking jury verdict for a former Wall Street executive embroiled in a class action over an alleged multimillion-dollar cryptocurrency Ponzi scheme. Read More

Rare Summary Arbitration Award for Global Esports Company

HHR scored a complete arbitration victory for FaZe Clan when an ICDR arbitrator issued a partial final award dismissing all claims by two venture firms seeking compensation for introducing the esports company to an investment broker. The award marked a rare pre-hearing victory on a Rule 33 dispositive motion. Five days later, the claimants sought to vacate the decision, but the arbitrator rejected their application on procedural grounds. Read More

Lehman Team Triumphs in 2d Circuit Appeal on Compensation Claim

In the final claims dispute in the liquidation of Lehman Brothers Inc., HHR secured an appellate victory when the Second Circuit affirmed two lower court rulings in favor of the trustee’s treatment of more than $300 million in deferred compensation claims. Read More

HHR secured an appellate victory for Dutch hedge fund Palladyne International Asset Management when the U.S. Court of Appeals for the Second Circuit upheld the dismissal of a fraudulent inducement lawsuit brought by one of its former executives.  Read More

Critical Ruling for Syracuse Mountains in PDVSA Bond Case

HHR scored an important victory for Syracuse Mountains Corporation by defeating a motion to dismiss a breach-of-contract lawsuit against Venezuelan state-owned oil and gas company Petróleos de Venezuela S.A. The firm won another victory on the merits for CoorsTek Bioceramics when the Paris Court of Appeal, acting as an EU trademark court, confirmed a lower court decision that paves the way for the medical device manufacturer to offer pink hip implants in Europe. Read More

Lehman Team to Distribute Final Payout of $269M to Unsecured Creditors

Hughes Hubbard’s Lehman team received court approval to make an eighth and final incremental distribution to general unsecured creditors (GUCs) of the failed brokerage firm, bringing their total recovery to approximately 41.25 percent of what was owed. The team also received approval of a voluntary supplemental distribution available to substantially all of LBI’s GUCs. Read More

Acquittal for Former French PM in Corruption Trial

HHR Paris won an acquittal for Edouard Balladur before the Court of Justice of the Republic in the former French prime minister’s trial over allegations that he financed his 1995 presidential campaign with illegal kickbacks from international arms deals. Read More

SKAT Settles Claims With Pension Plan

The firm assisted the government of Denmark in reaching settlements with a U.S. pension plan as part of an ongoing effort to recover $2.1 billion stolen in an international tax-refund scam. In January 2021, U.S. District Judge Lewis Kaplan approved dismissal of the Danish Tax Agency’s dispute with Tveter LLC Pension Plan and its representative, Christopher Nowell. The Danish Tax Agency, or Skatteforvaltningen (SKAT), announced in a one-page filing that it would drop its claims against the two for allegedly applying for at least $470,000 in tax refunds for shares in Danish companies that they didn’t own. Read More

Nikola Founder Fights Fraud Charges

In a case receiving national media coverage, including the covers of the NYT and WSJ, the firm represented Nikola founder Trevor Milton in parallel DOJ and SEC actions alleging wire fraud and securities fraud related to the startup truck maker. Milton pleaded not guilty to criminal charges of misleading investors about Nikola’s technology for battery-electric and hydrogen fuel cell vehicles.

M&A

Hughes Hubbard continues to be a leading firm for special purpose acquisition company (SPAC) mergers. Last year, in addition to working on the world’s biggest SPAC deal to date, our lawyers advised on multibillion-dollar deals involving a major sports e-commerce platform, a global technology company, the world’s largest owner of bowling centers and much more. Our M&A team also brought in big-name acquisitions for non-SPAC clients such as Roku and Infosys, and received The Deal’s Financial Services Deal of the Year award.

Grab Goes Public in World’s Biggest SPAC Deal

Hughes Hubbard acted as legal advisor to Grab Holdings Inc. in its merger with Altimeter Growth Corp., a special purpose acquisition company, that took Southeast Asia’s leading super app public in the largest SPAC merger ever, ascribing to Grab a pro-forma equity value of approximately $39.6 billion. Read More

Isos in $2.6B SPAC Merger With Bowlero

Multiple MDB Monitorships

HHR served as the compliance monitor for three separate companies in connection with multilateral development bank debarments of those companies. The HHR teams involved are responsible for evaluating the companies’ implementation of their compliance programs and controls to ensure consistency with international standards and recommending enhancements where necessary. Upon implementing the recommendations provided by the HHR team, the World Bank recently released one of the companies from debarment.

HHR was honored with the 2021 “Best Provider Collaboration” award by the American Lawyer for its role on the “Virtual Law Firm” team that assisted Airbus in the investigation and resolution of allegations of bribery and other offenses in 16 countries.

United Airlines’ $10.75B Debt Financing, the Largest Ever

HHR represented the arrangers, lenders and agents, which included Citibank, N.A. and Goldman Sachs USA, as joint mandated lead arrangers and structuring agents and joint bookrunners, for a $2 billion senior secured credit facility to Setanta Aircraft Leasing DAC, a special purpose borrower of the AerCap Holdings Group.

Côte d’Ivoire’s Financing and Construction of First Biomass Power Plant

HHR is advising the Republic of Côte d’Ivoire on the financing of the construction and operation of the country's first biomass plant, the country's first and West Africa's largest biomass power plant. Our advice includes negotiating with the banks the direct agreement with the State, setting out the terms of the relationship between the banks and the State for the duration of the project. Read More

Hughes Hubbard represented Paraguay’s state-run Banco Nacional de Fomento in its first U.S. dollar funding from international financial markets. Read More

Warehouse Financing for GECAS (now AerCap) and PIMCO Aviation Leasing Platform

Hughes Hubbard advised Goldman Sachs as lead structuring agent in connection with a new revolving warehouse credit facility that will provide financing to a joint venture of GECAS (now AerCap) and PIMCO for the purpose of acquiring and leasing aircraft.

West African Cotton Ginnery’s International Financing

HHR’s Paris team represented West African cotton company Société d'égrenage de Coton, or the Society for the Development of Cotton, in negotiation and documentation of an €80-million pre-export financing. Sodeco will use the proceeds for the financing of its 2021-2022 cotton season. The firm helped establish local collateral security agreements subject to the OHADA (Organization for the Harmonization of African Business Law) Uniform Act regulating securities.

Bankruptcy & Restructuring

This past year, Hughes Hubbard attorneys served leading roles in many of the largest and most complex pending bankruptcy cases, many of which were caused by, and involve unique challenges relating to, the ongoing pandemic.

Mexican Flag Carrier Airline Chapter 11

Hughes Hubbard continued its ongoing representation of Delta Air Lines in Aeroméxico’s multi-billion dollar chapter 11 cases. During the chapter 11 case, Delta was the majority equity holder of Aeroméxico, as well as being an important strategic partner in Aeroméxico’s reorganization plan.

Resolution of Historic Tort Liabilities

The firm has been serving as counsel to French mining company Imerys S.A. in effectuating a negotiated settlement between the company, its debtor subsidiaries and current and potential personal injury claimants. Once approved, the settlement will fully resolve Imerys’ historic tort liability related to its mining and sale of talc, including as a supplier to Johnson & Johnson for its baby powder.

Chapter 11 Plan of Liquidation Approval

HHR continues to represent DNB Bank ASA and Skandinaviska Enskilda Banken AS as co-lenders under a term credit facility with marine drilling service company Hermitage Offshore Services LTD. The lenders negotiated a chapter 11 plan of liquidation with the debtors providing for further cash payments, which the U.S. Bankruptcy Court approved in June. HHR also served as special counsel to DNB as a member of the Official Committee of Unsecured Creditors of Valaris plc, a London-based offshore drilling contractor.

Lehman Team Triumphs in 2d Circuit Appeal on Compensation Claim

In the final claims dispute in the liquidation of Lehman Brothers Inc., HHR secured an appellate victory when the Second Circuit affirmed two lower court rulings in favor of the trustee’s treatment of more than $300 million in deferred compensation claims.

This was the latest in a string of successes for our decade-long representation of the trustee in the liquidation of the largest bankruptcy in history. The Lehman Brothers Inc. estate was the largest of all worldwide Lehman insolvency proceedings by assets distributed, which totaled more than $123 billion. Read More

Complex Cross-Border Airline Bankruptcies

The firm continues to represent Wells Fargo in the LATAM, Norwegian, Hainan Philippine and Avianca airline bankruptcies. Wells Fargo is an indenture/security trustee for 19 secured financing facilities totaling approximately $3.3 billion used to fund the purchase of aircraft, and owner trustee for approximately 90 separate transactions. HHR has implemented strategies that have protected note holder recoveries, providing full and timely payments on a current basis.

Administering Approximately $2B in Claims

HHR is responsible for administering approximately $2 billion in claims as post-effective date counsel to Cenveo in its chapter 11 cases. Last year, the firm also advised Cenveo as a creditor and a member of the creditors’ committee in Country Fresh’s bankruptcy proceedings. This cross-border case involved U.S. and Canadian asset sales, and involved complex issues relating to the treatment of suppliers of fruits and vegetables under the Perishable Agricultural Commodities Act.

Administering More Than $1.1 Billion and Processing More Than 700,000 Claims

The firm served as general counsel to one of the first Bankruptcy Code 524(g) trusts, Eagle Picher, in the successful conclusion of litigation related to the Trust’s potential liability arising out of Eagle Picher’s involvement in the lead paint and pigment industry – a multi-hundred million dollar issue that could have resulted in the creation of an entirely new trust. The Trust also remained largely out of several litigation frays involving novel state laws related to asbestos liability and contentious bankruptcy proceedings involving talc and asbestos.

Arbitration

Hughes Hubbard continues to be a top firm for arbitration and cross-border cases. Our lawyers recently obtained complete victories in complex arbitrations for Mystique Brands against a French cognac distiller, for Global Gaming Asset Management in Singapore’s highest court and for FaZe Clan in a rare pre-hearing Rule 33 victory. The firm also worked with the government of Denmark in reaching settlements in a U.S. court regarding an international tax-refund scam, and served as independent monitor for companies sanctioned by the World Bank.

Independent Monitor for a $130 Billion Company Sanctioned by the World Bank for Fraud

HHR is serving as the appointed independent monitor for a $130 billion company sanctioned by the World Bank for fraud in 2019. HHR assessed the company’s efforts to establish an integrity compliance program through its 700+ subsidiaries and more than 100,000 employees.

Compliance Monitor for a State-Owned Engineering Company

HHR is also serving as the independent compliance monitor for a state-owned engineering company sanctioned by the World Bank for fraud in 2020. In this role, the HHR team is focusing on the company’s efforts to improve its bidding controls and meet its other obligations under a settlement agreement with the World Bank.

Arbitration Win for Pharmaceutical Company

Establishment of the Epstein Victims’ Compensation Program

The firm represented one of the co-executors of the Estate of Jeffrey Epstein in the design and implementation of a widely heralded victim compensation fund operating across the U.S. Virgin Islands, France and the mainstream U.S. The Epstein Victims’ Compensation Program permitted sexual abuse victims of Mr. Epstein to participate in a voluntary, confidential, non-adversarial alternative to litigation. The program, which distributed over $120 million to victims, was designed to provide compensation to victims in a manner sensitive to their experiences and concerns while treating them with compassion, dignity and respect.

Côte d’Ivoire’s Financing and Construction of First Biomass Power Plant

HHR is advising the Republic of Côte d’Ivoire on the financing of the construction and operation of the country's first biomass plant, the country's first and West Africa's largest biomass power plant. Our advice includes negotiating with the banks the direct agreement with the State, and setting out the terms of the relationship between the banks and the State for the duration of the project. Read More

EBI’s Financing for Ivorian Cocoa Exporter

An HHR Paris team represented EBI, a French subsidiary of pan-African banking conglomerate Ecobank, and exporter Kinedin Commodities, in the negotiation of a commodity financing facility for Kinedin. The firm helped establish local collateral security agreements subject to the OHADA (Organization for the Harmonization of African Business Law) Uniform Act regulating securities.

West African Cotton Ginnery’s International Financing

HHR’s Paris team represented West African cotton company Société d'égrenage de Coton, or the Society for the Development of Cotton, in negotiation and documentation of an €80-million pre-export financing. Sodeco will use the proceeds for the financing of its 2021-2022 cotton season. The firm helped establish local collateral security agreements subject to the OHADA (Organization for the Harmonization of African Business Law) Uniform Act regulating securities.

Côte d’Ivoire’s Ayebo Power Plant

The firm advised Côte d’Ivoire on a project to design, finance, construct and operate the Ayebo biomass thermal power plant in two units, each producing twenty-three megawatts. After advising the Ivory Coast on the negotiation and finalization of the concession agreement and related documentation for the implementation of the project, the firm continued its assistance by acting on the financing of the project, and in particular the negotiation of a direct agreement with the lenders and an amendment to the concession agreement.

Côte d’​Ivoire’s Cocoa Exports

Hughes Hubbard assisted the French commodities firm Sucres & Denrées Côte d’Ivoire SA in its pre-financing facility for cooperatives and local suppliers in the West African nation's cocoa sector. Suppliers will use the proceeds of the facility to purchase the bush cocoa product and for export packaging.

Côte d’Ivoire’s Hydroelectric Scheme

HHR advised Côte d’Ivoire on a project to design, finance, construct and operate the Singrobo-Ahouaty hydroelectric scheme, with an installed capacity of 44MW.

Asia

Last year saw Hughes Hubbard grow its Asia team with the addition of new partner Christine Kang. The firm continued its top shelf work for Asian and Middle Eastern clients, including the largest SPAC deal in the world, major disputes for Japanese companies and a revolving warehouse facility for a Middle East client. Grab Goes Public in World’s Biggest SPAC Deal

Hughes Hubbard acted as legal advisor to Grab Holdings Inc. in its merger with Altimeter Growth Corp., a special purpose acquisition company, that took Southeast Asia’s leading super app public in the largest SPAC merger ever, ascribing to Grab a pro-forma equity value of approximately $39.6 billion. Read More

Release from World Bank Sanction for Large Chinese State-Owned Construction Company

HHR assisted a large Chinese state-owned construction company, along with over 1000 subsidiaries, in obtaining release from a sanction that had been imposed by the World Bank in June 2019. The firm successfully demonstrated that the company had implemented an effective compliance program in line with the World Bank Group Integrity Compliance Guidelines. The firm also advised the company in revisions to their compliance policies and procedures as well as their internal controls.

Victory for Casino Operator in Singapore Court

In a conclusive triumph, HHR brought good fortune to Global Gaming Asset Management when Singapore’s highest court upheld a final arbitration award of $296 million issued in 2019 to the Las Vegas-based casino operator in its decade-long dispute with a premier gaming resort owner in the Philippines. Read More

Suzhou Angela Triumphs in 9th Circuit Court of Appeals

HHR successfully defended video game company Suzhou Angela against false claims that their game Myth of Empires had copied the source code of another game. These claims had caused Myth of Empires to be removed from a major online storefront.

FCPA Compliance Monitor for Chinese Construction Company

HHR is serving as an independent compliance monitor for a Chinese construction company under a debarment imposed by the African Development Bank. The HHR team is assessing the company’s efforts to establish an integrity compliance program in China and throughout its operations abroad.
